Q: Do we have to execute Exhibit B (Adherence to the U.S Resolution Stay Protocol) to the AEC SMA?

Exhibit B (Adherence to the U.S Resolution Stay Protocol) to the AEC SMA is applicable to an RFP Bidder that is a Regulated Entity under the ISDA U.S. Stay Protocol (such as Global Systemically Important Banks, or GSIBs). A Bidder that is not a Regulated Entity under the ISDA U.S. Stay Protocol is not required to submit an Exhibit B to the AEC SMA.

Q: Are SMAs signed under DSP V acceptable?

No, SMAs executed under the prior DSP V are not acceptable. In addition, please refer to Other-FAQ-8.

Q: Can we request changes to the Alternative Energy Credits SMA and other documents in the AEC Qualification Form?

No, the Confidentiality Agreement (Appendix 3), the AEC Delivery Timing Acknowledgement Form (Appendix 4), the Binding Bid Agreement (Appendix 7), and the Electronic Funds Transfer Authorization Form (Appendix 8) to the Alternative Energy Credits RFP Process and Rules, as well as the AEC SMA, are non-negotiable. The PPL Electric AEC RFP has been approved by the Pennsylvania Public Utility Commission (PUC) and the RFP and contract documents are not subject to negotiation or changes. RFP Bidders may propose non-substantive and clarifying modifications to the Bid Assurance Letter of Credit (Appendix 5). The RFP Bidder must submit proposed modifications in MS Word redline as Additional Upload(s) in the Justification of Omissions Section of the Qualification Form before the Bidder Qualifications Due Date. The acceptability of such proposed modifications will be at PPL Electric’s sole discretion, and such acceptability will be communicated to the applicant no later than forty-eight hours before the Cure Deficiency Deadline.
